Item 8.01 Other Events.

As previously reported by International Paper Company (the “Company”), on May 14, 2010, John V. Faraci, the Company’s Chairman and CEO, entered into a Rule 10b5-1 trading plan (the “Trading Plan”) to sell up to 285,000 shares of Company common stock. On June 18, 2010, Mr. Faraci amended the Trading Plan to add an additional 115,000 shares of Company common stock to the Trading Plan. The termination date of the Trading Plan with respect to sales of Company common stock remains December 31, 2011.
