Item 5.03.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 7, 2021, with the consent DuPont de Nemours, Inc., the Board of Directors (the “Board”) of International Flavors & Fragrances Inc. (the “Company”) approved an amendment to Article II, Section 14 of the Company’s By-Laws to eliminate the requirement to reduce the size of the Board from thirteen (13) directors to twelve (12) directors as of the Company’s 2022 annual meeting.

The foregoing description of the amended By-Laws is qualified in its entirety by reference to the full text of the by-laws, attached hereto as Exhibit 3.1 and is incorporated by reference into this Item 5.03.
