(d) On May 9, 2011, Furniture Brands International, Inc. (the “Company”) filed a Current Report on Form 8-K announcing the final voting results of the matters acted upon by the Company’s stockholders at its Annual Meeting held on May 5, 2011. The Company is filing this Current Report on Form 8-K/A to announce that, on August 4, 2011, the Company’s Board of Directors determined, consistent with the stockholders’ vote on the matter, to hold an advisory vote regarding the compensation of the Company’s named executive officers every year until the next vote on the frequency of such advisory votes.
