NOTE 4.  RELATED PARTY TRANSACTIONS

During the three months ended March 31, 2022, the Company continued to be a party to a Service Agreement with Fields Management, Inc. (“FMI”), pursuant to which FMI provides certain executive management services to the Company, including designating Randall K. Fields to perform the functions of President and Chief Executive Officer for the Company. Mr. Fields, FMI’s designated executive, who also serves as the Company’s Chair of the Board of Directors, controls FMI. The Company had no payables to FMI at March 31, 2022 and June 30, 2021, respectively, under the Service Agreement.
