Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
Effective May 15, 2019, Todd Mitchell resigned from his position as Chief Financial Officer of Park City Group, Inc. (the “Company”) to pursue other employment opportunities. Mr. Mitchell indicated that his resignation was not due to any disagreements with respect to the Company’s operations, policies or practices.
 
Following Mr. Mitchell’s resignation, effective May 15, 2019, John Merrill, the Company’s Senior Vice President, Finance, was appointed as the Company’s new Chief Financial Officer. Mr. Merrill, age 49, has served as Senior Vice President, Finance for the Company since May, 2018. Mr. Merrill has held a variety of financial roles within public and private organizations including United Health Group, Clear Channel, IMG, and Sports Authority.  Most recently, Mr. Merrill served as Chief Financial Officer of 360 Touch Advertising from 2016 to 2018, as Chief Financial Officer of Track Group, Inc. (OTCQX: TRCK) from 2014 to 2016, and as a merger and acquisition consultant for UnitedHealth Group (NYSE: UNH) from 2010 to 2014. In addition, Mr. Merrill previously served as Company’s Chief Financial Officer and Prescient Applied Intelligence, Inc. (OTCQB: PPID), software-as-a-service acquired by the Company in 2009. Mr. Merrill began his career with KPMG and holds a Bachelors and a Master’s in Accounting from the University of South Florida.
 
Mr. Merrill and the Company have not engaged in any related party transaction. Mr. Merrill has no family relationships with any director or executive officer of the Company, or persons nominated or chosen by the Company to become directors or executive officers. There are currently no other arrangements or understandings with Mr. Merrill with respect to his appointment as Chief Financial Officer.
