Item 1.01 Entry into a Material Definitive Agreement.

On August 9, 2006, Tesoro Corporation (the “Company”) approved the Tesoro Corporation Restoration Retirement Plan (the “Plan”) effective July 1, 2006. The Plan provides for the restoration of retirement benefits to certain executives and other employees of the Company that are not available due to the limits imposed by the Internal Revenue Code on the Company’s qualified retirement plan. The benefit formula for the Plan is the same as that provided by the qualified retirement plan and includes the same distribution options, excluding the lump sum option. The Plan is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
