Item 7.01 Regulation FD Disclosure.
On April 6, 2006, Mr. Bruce A. Smith, Chairman of the Board of Directors, President and Chief Executive Officer of Tesoro Corporation (the “Company”) announced on CNBC’s “Squawk Box” that the Company repurchased over 1.5 million shares of common stock for approximately $95 million under its common stock repurchase program since the program was announced in November 2005.
