(e) Compensatory Arrangements of Certain Officers.

On September 10, 2011, after review of compensation relative to competitive market data, the Compensation Committee of the Board of Directors of Tesoro Corporation (the “Company”) approved an increase in base salary for G. Scott Spendlove, the Company's Senior Vice President and Chief Financial Officer, from $400,000 to $460,000, effective as of September 11, 2011.
