Item 8.01 Other Events.

On August 16, 2007, The Huntington National Bank, a national bank subsidiary wholly owned by Huntington Bancshares Incorporated ("Huntington") obtained approval from the Office of the Comptroller of the Currency to merge Sky Bank and Sky Trust, National Association ("Sky Trust") into The Huntington National Bank, with the latter being the surviving entity. Sky Bank and Sky Trust were acquired by Huntington in the merger of Sky Financial Group, Inc. into Huntington effective July 1, 2007. The Huntington National Bank expects to complete the merger with Sky Trust in late August and the merger with Sky Bank in late September in conjunction with systems conversions.
