Entry into a Material Definitive Agreement

Certification of 2003-2005 Performance Score

On January 24, 2006, the Committee certified the performance score for the 2003-2005 period for performance share units granted under the Amended and Restated AEP Long Term Incentive Plan to certain executive officers in December 2002. The units were earned based on AEP’s three-year total shareholder returns measured relative to the S&P Electric Utility Index. AEP’s total shareholder return for 2002-2005 was at the 35th percentile of the S&P peer utilities, and as a result, 49% of the performance share targets for this period (plus accrued dividends) were earned. As a result, the following executive officers of AEP earned the following performance share units:
