On October 9, 2002, American Crystal Sugar Company (the “Company”) issued a press release announcing its acquisition, through its wholly-owned subsidiary, Sidney Sugars Incorporated, of three sugarbeet factories from Imperial Sugar Company.  A copy of the press release is attached to this report as Exhibit 99.1 and is incorporated herein by this reference.

Item  9.

The Company announced to its shareholders on October 10, 2002 that the forecasted gross beet payment for the 2001 crop is currently estimated at $46.64 per average ton of sugarbeets.  The final actual gross beet payment for the 2001 crop will not be determined until the Company’s annual financial statements are completed and accepted by the Board of Directors in November.
