HERTZ GLOBAL HOLDINGS ANNOUNCES PROPOSED $500 MILLION

PRIVATE OFFERING OF SENIOR NOTES BY THE HERTZ

CORPORATION

 

PARK RIDGE, NJ, December 6, 2010 — Hertz Global Holdings (NYSE:HTZ) (“Hertz Holdings”) announced today that its wholly owned subsidiary, The Hertz Corporation (“Hertz”), intends to offer $500 million aggregate principal amount of senior notes due 2021 (the “Notes”) in a private offering exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”), subject to market and other conditions.  The Notes will pay interest semi-annually in arrears. The Notes are expected to be guaranteed on a senior unsecured basis by the domestic subsidiaries of Hertz that guarantee its senior credit facilities. The final terms of the Notes will be determined at the time of pricing of the Notes.

 

Hertz intends to use the proceeds from the issuance of the Notes, together with cash proceeds from the issuance of Hertz’s 7.50% Senior Notes due 2018 on September 30, 2010, to redeem in full its 10.5% Senior Subordinated Notes due 2016 and to redeem $625 million principal amount of its 8.875% Senior Dollar Notes due 2014.

 

This news release does not constitute an offer to sell or the solicitation of an offer to buy any of the Notes and the guarantees or any other securities, nor will there be any sale of the Notes or any other securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state. PRIVATE OFFERING OF SENIOR NOTES BY THE HERTZ

CORPORATION

 

PARK RIDGE, NJ, December 6, 2010 — Hertz Global Holdings (NYSE:HTZ) (“Hertz Holdings”) announced today that its wholly owned subsidiary, The Hertz Corporation (“Hertz”), had entered into an agreement to sell $500 million aggregate principal amount of 7.375% Senior Notes due 2021 (the “Notes”) in a private offering (the “Offering”) exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The closing of the Offering is expected to occur on or about December 20, 2010, subject to customary closing conditions.  The Notes will pay interest semi-annually in arrears. The Notes will be guaranteed on a senior unsecured basis by the domestic subsidiaries of Hertz that guarantee its senior credit facilities.

 

Hertz intends to use the proceeds from the issuance of the Notes, together with cash proceeds from the issuance of Hertz’s 7.50% Senior Notes due 2018 on September 30, 2010, to redeem in full its 10.5% Senior Subordinated Notes due 2016 and to redeem $625 million principal amount of its 8.875% Senior Dollar Notes due 2014.
