The following statement regarding the Trian Letter dated July 10, 2006 was distributed by H. J. Heinz Company to certain members of the press:

This letter is a wild pitch to create a moral equivalency between the Peltz/May 20-year record of putting their own interests ahead of public shareholders and Heinz directors’ involvement in more general shareholder litigation. Messrs. Peltz and May were publicly censured by the London Stock Exchange in 1991 for dealing in the securities of Mountleigh Group Plc, “during the close period preceding the release of its preliminary results and, whilst they were in possession of unpublished, price-sensitive information.” Additionally, Messrs. Peltz and May made personal payments in settlement of claims for breach of fiduciary duty and securities fraud.
