Item 8.01.  Other Events.

On September 25, 2008, we terminated the 364-day Revolving Bridge Facility Credit Agreement among us, as Borrower, the Banks party thereto, and Citibank, N.A., as Agent entered into on July 23, 2008.  The Revolving Bridge Facility was entered into for the purpose of paying off our 3.125% Convertible Senior Notes due July 15, 2023, supporting our commercial paper program, and general corporate purposes.  On September 12, 2008, we issued notes to pay off the Convertible Senior Notes.
