F. Ahmanson & Company (NYSE:AHM) today announced that the preliminary results of the consent re-count conducted by CT Corporation System, the independent inspector of election appointed by Great Western Financial Corporation (NYSE:GWF), on three consent proposals show that Ahmanson won on all three proposals. The proposals included one requiring Great Western to hold its annual meeting by May 6, 1997 in accordance with its By-laws. By agreement of Ahmanson and Great Western, the re-count by CT excluded any shares that were voted twice by Great Western stockholders, and included all consents delivered through April 15, 1997. The preliminary results of the re-count for consent proposal three show that Ahmanson achieved a majority on April 9 by a margin of more than 500,000 shares and that another 3.46 million shares had been voted in favor of consent proposal three by April 15. This is the proposal to require an annual meeting by May 6, 1997. On April 11, Great Western scheduled its annual meeting for June 13, five weeks after the date specified in consent proposal three and Great Western's By-laws. The preliminary results also show that Ahmanson had achieved a majority on consent proposals four and five by margins of 797,000 and 796,000 respectively on April 10, and that another 2.1 million shares had been voted in favor of proposals four and five by April 15. Ahmanson stated, "These results make clear that Great Western stockholders wanted an annual meeting within two weeks of April 22, the date Great Western originally scheduled before it suddenly canceled the meeting. It is also clear that, as we have consistently stated, the duplicate-vote by a Great Western stockholder is not material to the results of the vote. "We look forward to final certification of these results, and to moving forward with our proxy solicitation to elect directors who will listen to the will of Great Western stockholders," Ahmanson concluded.
