Item 5.02.        Departure of Directors or Certain Officers; Election of
                  Directors; Appointment of Certain Officers; Compensatory
                  Arrangements of Certain Officers.

                  (b) On March 16, 2010, The Great Atlantic & Pacific Tea
         Company, Inc. and Jennifer MacLeod, the Company's Senior Vice
         President, Marketing and Communications, mutually agreed that Ms.
         MacLeod will leave the Company to pursue other opportunities.
