ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT. On May 7, 2006, Golden West Financial Corporation ("Golden West") and Wachovia Corporation ("Wachovia") announced that they had entered into an Agreement and Plan of Merger, dated as of May 7, 2006 (the "Merger Agreement"), that provides, among other things, for Golden West to be merged with and into a wholly owned subsidiary of Wachovia (the "Merger"). On May 8, 2006, Golden West filed a Current Report on Form 8-K (the "Original Form 8-K") describing terms and conditions of the Merger Agreement. Golden West incorporates into this document the information contained in Item 1.01 of the Original Form 8-K, and hereby amends the Original Form 8-K to include a copy of the Merger Agreement, which is attached hereto as Exhibit 2.1. The description of the Merger Agreement contained in the Original Form 8-K and incorporated herein is qualified by the actual terms of the Merger Agreement, which is incorporated herein by reference. The Merger Agreement has been included to provide investors and security holders with information regarding its terms.
