P&G’s Acquisition of Gillette

The acquisition cost is approximately $57 billion based on share price on Jan. 27, 2005.

 

Transaction is all in stock. .975 P&G share per one Gillette share.

 

Over the following 12-18 months, P&G plans to repurchase $18 - $22 billion in outstanding shares to finance the deal.

 

By end of deal and buyback, the net transaction will be approximately 60% stock; 40% cash.

 

Jim Kilts (current Chairman, President and CEO of Gillette) will join P&G to assist with integration. He is appointed a director and vice chairman of P&G.

 

Two companies’ combined revenue will amount to about $70 billion in FY ’06.

 

Present value of revenue and cost synergies is $14 - $16 billion.
