Item 5.02(b) Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers
On December 11, 2007, Mr. Charles F. Bolden Jr., currently a Director of GenCorp Inc., informed the Chairman of the Board that he has decided not to stand for reelection as a Director at the Company’s 2008 annual meeting of shareholders. Mr. Bolden will continue as a Director until the Company’s March 2008 annual meeting.
There were no disagreements with GenCorp that led to Mr. Bolden’s decision.
