Item 8.01. Other Events

On March 16, 2009, GenCorp Inc. (the “Company”) announced that it would limit certain investment options in the GenCorp Retirement Savings Plan (the “401(k) Plan”).  Specifically, effective March 16, 2009, all exchanges into the GenCorp Stock Fund, which gave participants the opportunity to invest amounts deposited in their 401(k) Plan account in GenCorp common stock, will no longer be permitted.  Effective April 15, 2009, all future contribution investment elections directed into the GenCorp Stock Fund will be redirected to other investment options.
