ITEM 8.01.  OTHER EVENTS

General Motors Corporation ("GM") has determined that it will file a Form 12b-25
with the Securities and Exchange Commission on March 2, 2007 to inform the
Commission that it is not able to file its Annual Report on Form 10-K for the
year ended December 31, 2006 (the "2006 Form 10-K") by the prescribed due date
of March 1 without unreasonable effort or expense. In such Form, GM intends to
request an extension of the due date for its filing to March 16, 2007.

GM expects to file its 2006 Form 10-K by the extended due date.
