DEREGISTRATION OF SECURITIES

This Post-Effective Amendment No. 1 (this “Post-Effective Amendment) to the Registration Statement on Form S-3 (File No. 333-251292) (the “Registration Statement”) of Ally Financial Inc. (the “Company”), which was filed with the Securities and Exchange Commission and became effective on December 11, 2020, is being filed to deregister all Variable Denomination Adjustable Rate Demand Notes (“Demand Notes”) unsold under the Registration Statement.

On December 11, 2020, the Company announced that it was terminating its Demand Notes program and would redeem, in full, all outstanding Demand Notes as of March 1, 2021. On March 1, 2021, all Demand Notes were redeemed, in full, by the Company (the “Redemption”).

As a result of the Redemption, the Company has terminated any and all offerings of its Demand Notes pursuant to the Registration Statement. In accordance with the undertaking made by the Company in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities registered under the Registration Statement that remain unissued at the termination of the offering, the Company hereby removes from registration by means of this Post-Effective Amendment all of such Demand Notes registered but unsold under the Registration Statement, if any, as of the date hereof. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such Demand Notes and the Company hereby terminates the effectiveness of the Registration Statement.
