Item 8.01Other Events.

 

On May 17, 2017, General Electric Company (the “Company”) closed its previously announced public offering (the “Offering”) of €1,750,000,000 aggregate principal amount of 0.375% Notes due 2022 (the “2022 Notes”), €2,000,000,000 aggregate principal amount of 0.875% Notes due 2025 (the “2025 Notes”), €2,250,000,000 aggregate principal amount of 1.500% Notes due 2029 (the “2029 Notes”) and €2,000,000,000 aggregate principal amount of 2.125% Notes due 2037 (the “2037 Notes” and together with the 2022 Notes, the 2025 Notes and the 2037 Notes, the “Notes”). In connection with the closing of the Offering, the Company entered into a paying agency agreement with The Bank of New York Mellon, London Branch, as paying agent.

 

The Notes were issued pursuant to a senior note indenture, dated as of October 9, 2012 (the “Base Indenture”), as supplemented by the officer’s certificate of the Company, dated as of May 17, 2017 (the “Officer’s Certificate” and together with the Base Indenture, the “Indenture”), by and between the Company and The Bank of New York Mellon, as trustee.

 

The Notes have been registered under the Securities Act of 1933, as amended, by a registration statement on Form S-3 (File No. 333-209821), including a base prospectus (the “Registration Statement”), filed with the Securities and Exchange Commission (the “SEC”) on February 29, 2016, as supplemented by a preliminary prospectus supplement, filed with the SEC on May 10, 2017, and a final prospectus supplement, filed with the SEC on May 12, 2017. This Current Report on Form 8-K is incorporated by reference into the Registration Statement.
