Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On July 25, 2008, the Board of Directors of GATX Corporation (the “Company”) elected James B. Ream to serve as an independent director on the Board of Directors of the Company. Mr. Ream was also appointed to serve on the Audit Committee of the Board.

     A copy of the press release announcing these actions is included as an exhibit to this report.

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

     On July 25, 2008, GATX Corporation amended and restated its Bylaws to provide, with respect to each designated Committee of the Board of Directors, that the presence of not less than one-third of the members of such Committee or two members (three members if any of the members comprising the quorum is not a U.S. citizen), whichever is greater, shall constitute a quorum of such Committee.
