Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 27, 2006, Zachary R. George submitted his resignation from the Board of Directors of The Allied Defense Group ("Allied" or "the Company"). Mr. George was originally appointed to the Board consistent with the provisions of an Agreement dated as of April 25, 2006, between the Company and Pirate Capital LLC, the Company's largest shareholder. As Mr. George has since resigned from Pirate Capital, he submitted, and the Board accepted, his resignation as a director of the Company.

On November 2, 2006, the Board of Directors of Allied appointed Mr. Thomas Hudson, Managing Member of Pirate Capital, to fill the vacancy created by Mr. George's resignation.
