Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On March 26, 2008, the Board of Directors of Friedman Industries, Incorporated (the “Company”) voted to increase the size of the board from nine to ten members and elected Max Alan Reichenthal to fill the vacancy. Mr. Reichenthal will receive the customary compensation paid to the Company’s outside directors, which is currently $2,000 per quarter.
     Mr. Reichenthal is the President and sole shareholder of Texas Iron and Metal Company, a Texas corporation doing business as a new and surplus steel service center in Houston, Texas. In September 2006, Texas Iron and Metal Company purchased the real property owned by the Company in Houston, Texas for approximately $1.3 million, and the Company signed a 12 month rental agreement with Texas Iron and Metal Company to rent office space at this location for $1,400 per month. The Company continues to rent this office space from Texas Iron and Metal Company on a month to month basis for $1,400 per month.
