Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On April 13, 2006, Frisch’s Restaurants, Inc. determined that it is advantageous to change its fiscal year end from the Sunday closest to May 31st to the Tuesday closest to May 31st. Therefore, the Company’s current fiscal year will end on Tuesday May 30, 2006 instead of Sunday May 28, 2006. The form to be filed that will cover the transition period is the Company’s next Form 10-K. Fiscal 2006 will include 366 days instead of the normal period of 52 weeks.
