Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 18, 2006, Frisch’s Restaurants, Inc announced that effective January 30, 2006, Michael R. Dunham will become the Company’s Regional Director of its Golden Corral Division, replacing Todd M. Rion, who resigned. The Company’s press release announcing these changes is filed as Exhibit 99.1 and is incorporated herein by reference.
