On July 22, 2005, Frisch’s Restaurants, Inc announced that Wm. Matthew Carpenter will become the Company’s Chief Operating Officer, replacing Paul F. McFarland, who is retiring. The Company’s press release announcing these changes is filed as Exhibit 99.1 and is incorporated herein by reference.
