Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On March 15, 2005, The Board of Directors of Frisch’s Restaurants, Inc unanimously elected Daniel W. Geeding, 62, Chairman of the Board and Karen F. Maier, 53, as a new director. Dr. Geeding replaces Jack C. Maier, who passed away on February 2, 2005. The Company’s press release announcing these changes is filed as Exhibit 99.1 and is incorporated herein by reference.
