Explanation of Responses:

1. Pursuant to a Settlement Agreement dated effective as of February 23, 2010, the Jack C. Maier Q-Tip Trust, Jack C. Maier Exempt Q-Tip Trust, Jack C. Maier Disclaimer Trust and Jack C. Maier Credit Shelter Trust received the reported number of shares of the common stock of Frisch's Restaurants, Inc. on March 10, 2010, in settlement of certain of the Trust's legal claims.
