FOREST OIL ANNOUNCES PRICING OF PRIVATE $600 MILLION DEBT OFFERING

 

DENVER, COLORADO – February 11, 2009 - Forest Oil Corporation (NYSE:FST) (Forest or the Company) announced today that it priced its private offering to eligible purchasers of $600 million principal amount of 8.5% Senior Notes due 2014.  The notes mature on February 15, 2014 and are priced at 95.15% of the principal amount to yield 9.75% to maturity.  The offering is expected to settle and close on February 17, 2009, subject to customary closing conditions.  Forest intends to use the net proceeds from the offering to repay a portion of the outstanding borrowings under Forest’s bank credit facilities.

 

The notes will not be registered under the Securities Act of 1933 or the securities laws of any state and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements under the Securities Act and applicable state securities laws.  The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.  This press release is being issued pursuant to Rule 135c under the Securities Act of 1933.  This press release shall not constitute an offer to sell or the solicitation of an offer to buy any of the securities in the notes offering, nor shall there be any sale of these securities in any state in which the offer, solicitation or sale would be unlawful prior to the registration or qualification under the securities laws of any such state.
