Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 14, 2009, Forest City Enterprises, Inc. (the "Company") paid Robert G. O’Brien, its Executive Vice President and Chief Financial Officer, a discretionary cash bonus of $114,000 for the critical leadership role he played in the success of the Company’s May 2009 public offering of 52.3 million shares of its Class A common stock, which resulted in net proceeds to the Company of approximately $330 million.
