Item 2.02.  Results of Operations and Financial Condition

On April 21, 2010, Massey Energy Company (the “Registrant”) issued a press release (the “Press Release”) regarding its unaudited financial results for the three months ended March 31, 2010.  The Press Release is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 2.02.
