      Carolyn Tiffany has notified the Registrant that effective at the close of
business on January 31, 2007 she will resign as the Chief Operating Officer of
Winthrop Realty Trust ("Winthrop"). A press release relating to Ms. Tiffany's
resignation is attached hereto as Exhibit 99.1 and is incorporated herein by
reference.
