Item 8.01 Other Events

DIVIDEND ANNOUNCEMENT

The registrant has reported to its shareholders that its fourth quarter dividend for fiscal year ending October 31, 2006 will be $ .50 per share, payable on December 19, 2006, to shareholders of record on December 4, 2006. Additionally, FREIT announced that, beginning in the first fiscal quarter of 2007, it is increasing its fixed quarterly dividend to $ .30 per share from $ .25 per share.
