                                TENDER OFFER

      This Amendment No. 1 amends and supplements the Tender Offer
Statement on Schedule TO (the "Statement"), dated July 11, 2000, filed by
Sunbeam Corporation ("Sunbeam"), a Delaware corporation, pursuant to
Section 13(e) of the Securities Exchange Act of 1934, as amended (the
"Exchange Act"), in connection with its offer to exchange up to $2,014
million aggregate principal amount at maturity of Zero Coupon Convertible
Senior Subordinated Debentures due 2018 of Sunbeam, or such lesser
principal amount as is properly tendered and not withdrawn, for 11% Senior
Secured Subordinated Notes due 2011 of Sunbeam and shares of common stock,
par value $.01 per share, of Sunbeam upon the terms and subject to the
conditions set forth in the Offering Circular, dated July 11, 2000, a copy
of which was attached as Exhibit (a)(1) to the Statement as originally
filed, and in the related Letter of Transmittal, a copy of which was
attached as Exhibit (a)(2) to the Statement as originally filed (which, as
they may be amended or supplemented from time to time, together constitute
the "Offer").

      On August 8, 2000, Sunbeam issued a press release announcing that the
Offer, which was previously scheduled to expire on August 7, 2000, had been
extended until 5:00 p.m., New York City time, on September 12, 2000. Other
than the extension of the Offer referenced above, the terms and conditions
of the Offer remain as set forth in the Offering Circular dated July 11,
2000 and the related Letter of Transmittal.

      Item 11 of the Statement is hereby amended and supplemented as
follows:

      BOCA RATON, FL, AUGUST 8, 2000 -- Sunbeam Corporation (NYSE: SOC)
today announced that it has extended its pending offer to exchange all of
its outstanding Zero Coupon Convertible Senior Subordinated Debentures due
2018 for newly issued 11% Senior Secured Subordinated Notes due 2011 and
shares of Sunbeam Corporation common stock until 5:00 p.m. (EDT) on
September 12, 2000. Based on the most recent report from Sunbeam's exchange
agent, $5,645,000 principal amount at maturity of the outstanding Zero
Coupon Debentures have been tendered to Sunbeam for exchange.
