Item 5. Other Events and Regulation FD Disclosure

On April 27, 2004, BancWest Corporation (“BancWest”) and USDB Bancorp, parent company of Union Safe Deposit Bank, announced they had signed a definitive agreement for BancWest to acquire USDB Bancorp in a cash transaction valued at $245 million.
