Item 8.01 Other Events.

On February 5, 2007, M&T Bank Corporation ("M&T") acquired a minority interest in Bayview Lending Group LLC, a Florida-based privately-held commercial mortgage lender that specializes in originating, securitizing and servicing small balance commercial real estate loans throughout the U.S. M&T will account for the investment using the equity method of accounting.
