(b) Effective as of April 18, 2006, the date of M&T Bank Corporation’s 2006 Annual Meeting of Stockholders, William F. Allyn, Patrick J. Callan and R. Carlos Carballada retired as directors of M&T Bank Corporation. Mr. Allyn also retired as a member of the Audit Committee of the Board of Directors of M&T Bank Corporation on that date.
