Item 8.01 Other Events.

On June 28, 2024, U.S. Bancorp (the “Company”) announced that the Board of Governors of the Federal Reserve System (the “Federal Reserve”) has notified the Company that its preliminary Stress Capital Buffer (“SCB”) requirement is 3.1%, based on the results of the Federal Reserve’s Dodd-Frank Act Stress Test. The Federal Reserve will provide the Company with its final SCB requirement by August 31, 2024, and that requirement will become effective on October 1, 2024, and will remain in effect until September 30, 2025. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated into this Item 8.01 by reference.
