Item 8.01

Other Events.

On December 22, 2020, U.S. Bancorp announced that its board of directors has approved an authorization to repurchase up to $3 billion of its outstanding common stock beginning on January 1, 2021. U.S. Bancorp also announced that its board of directors currently intends to maintain the quarterly dividend on U.S. Bancorp common stock of $0.42 per common share. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated into this Item 8.01 by reference.
