Item 8.01 Other Events

On May 21, 2007, the United States Court of Appeals for the Sixth Circuit in the case of Chicago Title Insurance Corporation v. James A. Magnuson, et al. reversed the $32.4 million punitive damages verdict against a subsidiary of The First American Corporation (the “Company”) and ordered a new trial on the $10.8 million compensatory damages verdict. During 2005 the Company recorded a reserve of $10.0 million in connection with this matter. The Company is evaluating the appropriateness of this reserve in light of the decision of the court.
