Item 1.01 Entry into a Material Definitive Agreement.

On August 24, 2006, the board of directors of The First American Corporation (the “Company”) approved a compensation arrangement for the members of the special subcommittee of the audit committee that is currently conducting a review of the Company’s stock option granting practices, as described in the Company’s current report on Form 8-K dated August 9, 2006. The subcommittee members will receive the regular committee meeting fee of $2,000 for each subcommittee meeting.
