Explanation of Responses:
1. The reported securities are owned by The Roy F. Mitte and Joann Cole Mitte Foundation (the "Foundation"). This report is being filed jointly by the Foundation, a 10% shareholder of Financial Industries Corporation ("FIC"), and Roy F. Mitte, an officer and director of FIC.
2. The reported securities are owned directly by the Foundation and have been previously reported by it; the Foundation is not reporting any transaction in this report.
3. The reported securities are owned directly by Roy F. Mitte; FIC is contractually obligated to identify the buyer for these shares on or before June 1, 2003.
4. The reported securities are beneficially owned by Roy F. Mitte; FIC is contractually obligated to identify the buyer for these shares on or before June 1, 2003.
5. These options are held by Roy F. Mitte and are being canceled by Mr. Mitte pursuant to an agreement by which FIC will pay Mr. Mitte $42,636 ($14.64 per share less the exercise price), less applicable withholding taxes.
6. 2200 of these options became exercisable on May 18, 2000, 2200 became exercisable on May 18, 2001, and 2200 became exercisable on May 18, 2002.
