("Pure World") of Shares of Beneficial Interest ("Shares") of American Industrial Properties REIT, a Texas real estate investment trust (the "Trust"). Item 4 is amended hereby to add the following: The previously announced settlement agreement between Pure World and the Trust was approved by the Federal District Court at Dallas, Texas on December 19, 1996. Item 5. INTEREST IN SECURITIES OF THE ISSUER. Item 5 is amended hereby to add the following: On December 20, 1996, pursuant to the approved settlement agreement, Pure World sold all of its 907,000 Shares at a price of $2.75 per Share to USAA Real Estate Co. (the "Sale"). The Trust also paid Pure World $825,000 as a reimbursement of costs and in consideration for releases and a standstill agreement. The Sale was effected in a private transaction. There were no other transactions in Shares by Pure World in the past sixty days.
