Rainer There were seven nominees for seven seats and the nominees were elected by the affirmative vote of 76% of the outstanding. At the meeting the Registrant's shareholders also approved the 1994 CU Bancorp Non Employee Director Stock Option Plan by a vote of 3,028,225 shares "for"; 706,192 shares "against" and 129,287 shares "abstained". The Plan was approved by 68% of the shares present and eligible to vote.
