CA Extends Tender Offer for $352 Million

of Senior Notes Maturing in 2009

 

ISLANDIA, N.Y., February 23, 2009 – CA, Inc. (NASDAQ: CA) (the “Company”) today announced that it has extended the expiration date of its previously announced cash tender offer (the “Offer”) to purchase any and all of the $352 million outstanding principal amount of its 4.750 percent Senior Notes due December 1, 2009  (CUSIPs 12673PAA3, 204912AS8 and U20385AD9) (the “Notes”).

 

The Offer, which was scheduled to expire at 5 p.m., New York City time, on February 23, 2009, has been extended to 5 p.m., New York City time, on Wednesday, February 25, 2009 (the “Expiration Time”).  There will be no further extensions.

 

The consideration payable per $1,000 principal amount of Notes tendered and accepted for payment in the Offer remains $1,000.  In addition, the Company will pay to holders any accrued and unpaid interest from the last interest payment date of December 1, 2008 up to, but not including, the settlement date of Friday, February 27, 2009 for Notes tendered and accepted for payment in the Offer.

 

The Offer is not conditioned upon any minimum principal amount of Notes being tendered.  Tenders of Notes may not be withdrawn.  No tenders of Notes after the extended Expiration Time will be valid.  The Company reserves the right to terminate or withdraw the Offer at any time and from time to time, subject to applicable law.  In the event of a termination or withdrawal of the Offer, Notes tendered pursuant to the Offer will be promptly returned to the tendering Holders.

 

The complete terms and conditions of the Offer are set forth in an Offer to Purchase dated February 13, 2009 (the “Offer to Purchase”), and the related Letter of Transmittal (the “Letter of Transmittal”), both of which have been sent to holders of the Notes.  Holders are urged to read the Offer to Purchase and the Letter of Transmittal.

 

As of 5 p.m., New York City time, on Monday, February 23, 2009, an aggregate of approximately $176 million principal amount of the Notes had been tendered pursuant to the Offer.
