(a) Consolidated Capital Properties IV (the "Partnership") has determined that there are errors in its financial statements for the year ended December 31, 2004 and for the three months ended March 31, 2005 and that such financial statements should no longer be relied upon. Specifically, the Partnership has determined that its accounting for capitalized interest was not in accordance with generally accepted accounting principles. As a result of the Partnership's determination, the Partnership will restate its financial statements for the year ended December 31, 2004 and for the three months ended March 31, 2005 and will include such restated financial statements in an amended report on Form 10-K for the year ended December 31, 2004 and an amended report on Form 10-Q for the three months ended March 31, 2005. The Partnership intends to file its amended financial statements by August 19, 2005. The certifying officers of the Partnership's general partner have reevaluated the adequacy of the Partnership's disclosure controls and procedures in light of the material error that was discovered. Based on such evaluation, the principal executive officer and principal officer of the general partner, who are the equivalent of the Partnership's chief executive officer and chief financial officer, respectively, have concluded that that, as of the end of such periods noted above, the Partnership's disclosure controls were not effective due to the Partnership's failure to properly record capitalized interest costs. Authorized officers of the Partnership's general partner have discussed with the Partnership's independent accountant the matters disclosed herein.
