Item 1.01.   Entry into a Material Definitive Agreement.


On December 1, 2005, the Compensation Committee of the Board of Directors of
InterDigital Communications Corporation awarded a special one-time bonus of
$25,000 to William J. Merritt, Chief Executive Officer of the Company, for his
extraordinary service as Chief Executive Officer during 2005. The award will be
paid in December 2005.
